1. Introduction
Welcome to AuditLance! These Terms and Conditions govern your access and use of the AuditLance platform. By registering, accessing, or using our platform, you agree to comply with these terms. AuditLance serves as a professional freelancing platform designed for auditors and audit firms to engage in project-based work with a structured system of engagement, payment, and review.

2. Definitions

• “Platform” refers to AuditLance, including its website, software, and related services.
• “Audit Contractor” refers to freelance auditors registered on the platform, providing auditing services to employers.
• “Audit Firm/Employer” refers to companies or individuals hiring audit contractors through the platform.
• “Engagement” refers to a work assignment provided by an audit firm to an audit contractor.
• “Escrow System” refers to the secure holding system within the platform used to manage payments between audit firms and contractors.

3. User Registration & Account Security

• To use AuditLance, users must register and create an account with valid and verifiable details.
• Users must keep their account credentials confidential and are responsible for all activities performed under their accounts.
• Any unauthorized access or suspected security breaches must be reported to AuditLance immediately.
• Users must maintain a professional profile with accurate information, including qualifications and experience.

4. Engagement Rules

• Audit contractors may only work on one engagement at a time. Any attempt to take on multiple engagements simultaneously may result in suspension or termination of their account.
• Audit firms must rate audit contractors upon engagement completion and must mark engagements as complete to maintain platform efficiency.
• All engagements must be conducted in accordance with professional and ethical auditing standards.
• Users must ensure transparency in work processes, deliverables, and communication to maintain trust within the platform.

5. Financial Agreements & Payment Process

• All financial agreements and transactions between audit contractors and audit firms must be made within the platform. AuditLance will not be held responsible for any agreements made outside the platform.
• Payments are facilitated through an escrow system to ensure fairness and security for both parties.
• Payment will only be made to audit contractors based on the employer’s marked frequency of payment, as agreed upon in the contract.
• Regardless of milestone completion, payment or withdrawal can only be released from escrow upon the audit firm’s approved terms of payment.
• Disputes regarding payments must be submitted to AuditLance support, and resolution will be determined based on platform policies.
• Audit contractors are responsible for any tax obligations arising from payments received on the platform.

6. Document & Data Security

• Only timesheets are permitted to be uploaded on the platform. Any unauthorized documents will be removed, and repeated violations may lead to account suspension.
• AuditLance is not responsible for any data breaches or leaks related to auditee documents uploaded by users. Audit firms and audit contractors are responsible for safeguarding sensitive documents.
• Users must comply with data protection regulations applicable in their jurisdictions when handling confidential information.
• Any attempt to misuse or distribute confidential client data will result in immediate account termination and potential legal consequences.

7. Responsibilities of Audit Firms

• Audit firms must rate audit contractors based on their performance at the end of an engagement.
• Employers must ensure that engagements are marked as complete upon satisfactory work delivery to facilitate payments.
• All engagements must be clearly defined, with work scope, timelines, and expectations outlined before commencement.
• Employers must provide timely feedback to contractors to foster a productive work environment.
• Employers are responsible for verifying the credentials and professional background of audit contractors before hiring.

8. Responsibilities of Audit Contractors

• Contractors must complete assigned work professionally and within the agreed timeframe.
• Contractors must ensure they are engaged in only one project at a time and avoid conflicts of interest.
• Contractors must communicate any challenges or delays in work progress promptly to their employers.
• Contractors must maintain ethical conduct and professional integrity in all engagements.
• Contractors must comply with the platform’s policies, including payment terms, security standards, and work ethics.

9. Liability & Indemnity

• AuditLance acts as a marketplace and does not oversee, manage, or guarantee the quality of engagements.
• Users agree to indemnify and hold AuditLance harmless from any claims, losses, damages, or disputes arising from their use of the platform.
• AuditLance is not liable for delays, financial losses, or any disputes between audit firms and contractors.
• The platform does not provide auditing services directly and is not responsible for the accuracy of work delivered by audit contractors.

10. Dispute Resolution

• In case of disputes, users must first attempt to resolve matters among themselves through the platform’s messaging and documentation system.
• If a resolution is not reached, users may escalate disputes to AuditLance’s dispute resolution team.
• AuditLance reserves the right to mediate and provide a final decision based on the evidence provided.

11. Termination & Account Suspension

• AuditLance reserves the right to terminate or suspend accounts that violate these Terms and Conditions without prior notice.
• Users who repeatedly fail to comply with platform guidelines may be permanently banned from the platform.
• AuditLance may suspend accounts involved in fraudulent activities, payment evasion, or unethical conduct.

12. Intellectual Property Rights

• Users retain ownership of the content and deliverables they create while using the platform.
• By using the platform, users grant AuditLance a license to use, display, and store relevant content necessary for operational purposes.
• Unauthorized use of AuditLance trademarks, branding, or content is strictly prohibited.

13. Changes to Terms

• We may modify these terms from time to time. Continued use of the platform after changes signifies acceptance of the updated terms.
• Users will be notified of significant changes through email or platform announcements.

14. Governing Law
